摘 要
所谓国有企业就是国有独资企业和国家控股企业，《当前国有企业改革的特点和重点》的文章指出，深化国有企业改革，加快国有经济布局和结构调整，完善国有资产管理体制，仍是改革的重点，其中国有企业改革是重中之重。当前国有企业改革进入一个新的阶段，具有与以往改革明显的不同特点：当前国有企业改革是出资人主导的改革，是总体性改革，是大规模的重组改革，是规范性改革。国有企业改革的重点应当是完善激励制度，完善公司治理结构，推进国有企业产权多元化，加快国有资源的优化配置，完善国有资产监管体制。
随着企业的做大作强，市场经济的发展以及与国际市场的接轨，，企业面临的形势却使企业的决策管理层充满危机感与紧迫感，为了提高公司在未来的竞争能力和生存能力，目前很多企业都开始着眼于ERP软件，通过软件，结合新的管理思想，优化企业的人、财、物。目前市场上优秀个ERP管理软件众多，Sap Business One是较为适合于中小型改制企业的ERP软件，本文将结合本科4年中所学的系统设计知识以及企业管理的知识，以企业实习的实际项目为例，分析与设计一份适合于中小型改制企业的解决方案。 通过数据库SQL Server 2005和Sap Business One实现各个功能。

Abstract
The state-owned enterprises is the wholly state-owned enterprises and state holding enterprises, 《the current reform of state enterprises and key characteristics》 the article pointed out that the deepening state enterprise reform, accelerate state-owned economic layout and structure adjustment, improve the state-owned assets management system, is still the focus of reform , Which is the top priority of state-owned enterprise reform.At present the state-owned enterprise reform has entered a new stage, with reform of the past and obviously the different characteristics: the current state enterprise reform is the investor-driven reform,is the reform of the whole, is a large-scale restructuring reform. State-owned enterprise reform should focus on to improve the incentive system,to improve the corporate governance structure,to promote the diversification of property rights of state-owned enterprises, to accelerate the optimal allocation of state resources,to improve the state-owned assets supervision and management system.
As enterprises make more stronger, and the development of market economy and the convergence with the international market, enterprises are facing the situation corporate decision-making and management of crisis-ridden sense of urgency, in order to enhance the company's competitiveness in the future and viability, at present many enterprises have begun to focus on ERP software, integration of new management thinking, and optimize the enterprise, financial, and material. In the market a good ERP software of management-Sap Business One is more suitable for small and medium-sized enterprises restructuring of the ERP software,This article will be combined in the four-year undergraduate school the knowledge of system design, and knowledge of enterprise management, enterprise training to the actual project as an example, the analysis and design of a suitable for small and medium-sized enterprise restructuring solutions. Through the database SQL Server 2005 and Sap Business One to achieve the various functional.
